OFFICIAL CONTEST RULES

NO PURCHASE NECESSARY TO ENTER OR WIN, NOR WILL A PURCHASE IMPROVE ONE'S CHANCES OF WINNING.



1. SPONSOR: ABC, Inc., dba Buena Vista Pictures Marketing, 500 South Buena Vista Street, Burbank, CA 91521 ( "Sponsor").

2. ADMINISTRATOR: Walt Disney Internet Group, 500 South Buena Vista Street, Burbank, CA 91521-7725 ( "Administrator").

3. JUDGES: Both the Sponsor and the filmmakers ("Filmmakers") of the live action motion picture entitled Underdog ("Picture") will be the judges (together referred to as "Judges").

4. BRIEF OVERVIEW OF CONTEST: The UNDERDOG Super Pet Contest ("Contest") on Disney.com ("Website") is a contest consisting of two (2) categories: a video category and a photograph category (individually, "Category"). Each entrant ("Contestant") has the choice of either submitting a video not exceeding five (5) minutes duration ("Video Submission") or a photograph ( "Photo Submission"), but not both, of a dog (or dogs) performing a trick. The Video Submission and the Photo Submission are hereinafter each referred to as a "Submission". The Judges will select, in their sole discretion, ten (10) Video Submissions and ten (10) Photo Submissions as finalists (collectively, "Finalists") from the Submissions of Contestants who are eligible to enter the Contest in accordance with these Official Rules ( "Rules"). The Sponsor will post the Submissions of all Finalists on the Website's Contest webpage for the Picture to permit Members of the Website to vote to determine the two (2) Grand Prize winners in each Category for a total of four (4) Grand Prize winners (collectively, "Grand Prize Winners" or individually, "Grand Prize Winner") (as defined below). Each Grand Prize Winner and his/her guest will have the opportunity to travel to Los Angeles, California ("City") to attend the red carpet premiere ( "Premiere") of the Picture, or alternatively, in the Sponsor's sole discretion, to attend a cast and crew screening of the Picture and to have his/her Submission, or a portion thereof, published on the Website and otherwise distributed as determined by Sponsor in its sole discretion. In addition, the Submissions of all eligible Contestants will be judged by the Judges to select, in their sole discretion, the Second Prize Winners, if any, whose Submissions, or a portion thereof, may be published on the Website and/or otherwise distributed as determined by Sponsor in its sole discretion, and in the end credits of the Picture. The awarding of each Grand Prize and Second Prize (collectively, "Prizes") is subject to the eligibility and forfeiture provisions set forth below.

5. ELIGIBILITY: To be eligible for a prize, Contestant must, at the time of entering be: (1) a natural person legally residing in, and physically located within, the 50 United States or the District of Columbia ("Territory"); (2) 14 years of age or older; (3) a registered user of the Website in compliance with the Website's terms of use agreement; (4) ready, able and willing to travel to the City to attend the Premiere, on or about July 29, 2007, or on an alternate Sponsor-selected date; (5) willing to have his/her Submission featured in the Picture and published on the Website, or otherwise distributed, in connection with, or to promote, the Contest, the Picture and/or the Website; and (6) not an employee, consultant, independent contractor or intern who has, within the past six months, performed services for, Sponsor, Administrator, Filmmakers; any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest or supplying the Prizes, or their respective parent, subsidiary, affiliated or successor companies (collectively, "Entities"), nor a member of their household or immediate family. "Household members" shall mean people who share the same residence at least three months a year "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. .

6. HOW TO ENTER: You may enter the Contest in one of two (2) ways, during the period commencing at 12:01 A.M., May 8, 2007 and ending at 11:59 P.M., June 1, 2007 ("Term"). For purposes of these Rules, all times and days are Pacific Daylight Time. You may enter either:

A. BY Mail: Mail one (1) Video Submission (Region 1 NTSC VHS or DVD) or one (1) Photo Submission (one photographic print), together with a 3" x 5" card with your full name, e-mail address ("Address") and birth date inside a postage prepaid business size (#10) envelope, to: The Underdog Super Pet Contest, Entries, 500 South Buena Vista St., Burbank, CA 91521-1398 ("Mail Entry").

B. BY INTERNET: You may only enter via the Internet as a registered member ("Member") of the Website by visiting the Website, logging in by providing your Member Name and Password and submitting one Video Submission (digital video recording in mpeg, Quick Time, or Windows Media format) or one (1) Photo Submission (one (1) digital photograph in Jpegs or gifs format); following entry instructions and clicking on the "submit" button ("Online Entry"). If you are not a Member, you may easily register for free to become a Member through the link on the site: "Not Registered?" by filling out the simple Registration Form. Upon becoming a Member by registration, you may enter the Contest by following the above instructions. Normal Internet access and usage charges imposed by your on-line service will apply. It is your sole responsibility to notify Sponsor in writing if your Address changes. To do so, go to http://register.go.com/disney/GuestServices/YourAccount/login and log into Contestant's account, click on the "Modify" icon and follow the instructions on how to change your Address.
"Entry" shall mean and refer to each Online and Mail Entry regardless of Category.

EACH ENTRANT IS ENTITLED TO ENTER ONLY ONE SUBMISSION. IT CAN BE A PHOTO SUBMISSION OR A VIDEO SUBMISSION, BUT NOT BOTH. YOUR SUBMISSION CAN EITHER BE ENTERED BY MAIL OR ONLINE, BUT NOT BOTH. ANY ENTRANT WHO SUBMITS MORE THAN ONE (1) ENTRY WILL BE DISQUALIFIED.

7. CONTEST MATERIALS: "Contest Materials" include, to the extent applicable: [1] any information and material, including the Submission submitted by Contestant in connection with the Contest; [2] the Entry form and any other forms, contracts or releases required to be submitted by Contestant for the Contest, whether required by Sponsor prior to or after selection; [3] Contestant's name, voice, likeness, image and biographical data and [4] all photographs, artwork writings, statements, dramatic materials, ideas, quotations and any other intellectual properties created by you in connection with the Contest, whether submitted to the Sponsor or not, including the Submission. All material owned by the Sponsor or the Sponsor's affiliated companies, including but not limited to any Picture logo, title art, one sheet, banner, etc., and the Picture Trailer, shall remain the property of such persons and Contestants shall acquire no rights therein by virtue of this Contest.

By entering the Contest or submitting the Contest Materials, you represent and warrant to Sponsor that: [1] the Contest Materials and everything depicted in the Contest Materials are wholly original, do not infringe upon or otherwise violate any right of any person, firm or entity and are not defamatory; [2] you have all rights, licenses, permissions and consents necessary to submit the Contest Materials in the Contest in accordance with the Rules; [3] no person other than you, nor any entity, has any right, title or interest in and to any part of the Contest Materials and [4] you are not subject to any agreement or arrangement that would interfere with your entering this Contest and granting all the rights granted hereunder or that would conflict with any other documentation required hereunder.

Except as specifically provided for herein, by entering the Contest, you agree that all recordings, copyrights, trademarks, ideas, concepts, acts, poses and performances, including, without limitation, all material composed, added, created, or interpolated by you, from the inception of creation and irrespective of stage of development or completion, that are submitted separately or embodied: [1] in the Contest Materials; [2] in the Submission submitted by you; and [3] otherwise in connection with this Contest (collectively, "Work"), are commissioned hereunder on a "work for hire" basis. In the event the Work is found not to be a work-made-for-hire, you hereby assign, transfer and grant to the Sponsor all rights, including all exclusive exploitation rights, of every kind and nature (including any and all copyrights and neighboring rights, to the extent such assignment is allowed by law) in and to such Work. All rights to such Work are owned by Sponsor solely and exclusively, for the duration of the rights in each country and area and space, in all languages, and throughout the universe, including, without limitation, the right to use, re-use, reproduce, distribute, re-distribute, display, exhibit, transmit, print, publish, broadcast, host, store, cache, download, stream, comment on, edit, alter, modify, adapt, translate, and create derivative works based upon, synchronize with visual material, make sound or video recordings, audiovisual recordings, otherwise use, and permit others to use and perform or otherwise exploit the Work throughout the universe, in all media now known or hereafter discovered, including without limitation, in connection with, and to promote, market or advertise, the Website, the Contest , and the Picture, in whole or in part, in edited, unedited or distorted form, without review, approval, credit or attribution, notification or payment from or to you or any person or entity, including without limitation any third party company or other company entitled to your exclusive performing services or any other rights with respect to your performing services, or any union or guild. You also agree to execute any and all documents required to effect the transfer of such rights to Sponsor.

You and Sponsor are aware and hereby acknowledge that new rights to the Work may come into being and/or be recognized in the future, under the law and/or in equity (hereafter the "New Exploitation Rights"), and You intend to and do hereby grant and convey to Sponsor any and all such New Exploitation Rights to the Work granted by you hereunder. You and Sponsor are also aware and do hereby acknowledge that new (or changed) (1) technology, (2) uses, (3) media, (4) formats, (5) modes of transmission and (6) methods of distribution, dissemination, exhibition or performance (hereafter the "New Exploitation Methods") are being and will inevitably continue to be developed in the future, which would offer new opportunities for exploiting the Work. You intend to and do hereby grant and convey to Sponsor any and all rights to such New Exploitation Methods with respect to the Work. You hereby agree to execute any document Sponsor deems in its interest to confirm the existence of the preceding and to effectuate its purpose to convey such rights to Sponsor, including without limitation the New Exploitation Rights and any and all rights to the New Exploitation Methods. You further hereby agree that you will not seek (1) to challenge, through the courts, administrative governmental bodies, private organizations, or in any other manner the rights of Sponsor to exploit the Work by any means whatsoever or (2) to thwart, hinder or subvert the intent of the grants and conveyances to Sponsor herein and/or the collection by Sponsor of any proceeds relating to the rights conveyed hereunder.

8. LIMITATIONS: Review these Rules carefully as all Entries and Prizes are subject to the Rules, including without limitation, the Judging and Selection Procedures set forth below. The Contest is limited to dog tricks only. Other pets may appear in the Submission, but the actual trick must be performed by a dog or dogs. Submissions containing tricks performed only by pets other than dogs will be disqualified. Mail Entries must be postmarked by 11:59 P.M., June 1, and received by June 5, 2007; and Online Entries must be received by 11:59:59 P.M., June 1, 2007. The Administrator's computer is the official time keeping device for Online Entry into the Contest. If a Video Submission is longer than five (5) minutes, only the first five (5) minutes will be judged. Only one Submission per Contestant will be accepted for judging, regardless of method of Entry or Category of Entry; and any Contestant who submits more than one Entry will be disqualified. In event of a dispute regarding the identity of the person submitting an Online Entry, the Entry will be deemed to be submitted by the Member who is registered on the Website. Entries by any method other than set forth above in Section 6 are void. Any use of automated or programmed methods of effecting Entry is prohibited. Neither the Entities, nor any of their officers, directors, shareholders, employees, agents or representatives (individually and collectively, "Releasees") are responsible for Entries from persons residing, or physically located, outside the Territory; Entries that are altered, delayed, deleted, destroyed, fraudulent, improperly accessed, inaccurate, incomplete, interrupted, late, lost, misrouted, multiple, mutilated, non-delivered, postage-due, stolen, tampered with, unauthorized or unintelligible; or any printing, production, technical, electronic or other errors; or for telephone, telecommunications, hardware or third party software malfunctions; failures, or difficulties of any kind; any failed, partial or garbled computer transmissions; technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software; any condition caused by events; any error, omission, interruption, deletion, defect, delay in operation or transmission; communications line failure; any problems or technical malfunctions of any telephone network or lines, computer online systems, servers or providers, computer equipment or software; failure, misdirection or delay of any e-mail or electronic Entry to be received on account of technical problems or traffic congestion on the Internet or on the Website, or any combination thereof, or other errors of any kind, whether due to electronic, mechanical or human error or other causes, even if caused by the negligence of any of the Releasees. Each of such potential Entries will be disqualified. Void where prohibited or restricted by law and subject to all applicable federal, state, local and municipal laws and regulations.

Do not submit any Contest Materials or portion of any Contest Materials owned or controlled by anyone other than Contestant. If your Video Submission is videotaped by anyone other than yourself, Sponsor reserves the right to disqualify the Submission at any time if Sponsor is unable to secure all rights in the Submission that the person who videotaped it may have. If you depict in your Submission, e.g., in the background or on costumes, equipment or props or on a soundtrack: (i) any trademarks or copyrighted material, including but not limited to any music; (ii) the name, voice, likeness or image of any person but yourself; or (iii) any materials not specifically requested in the Rules, such materials will not be considered in the judging of your Submission, and Sponsor reserves the right to edit, crop, blur or alter the Submission in any way Sponsor deems necessary, in its sole discretion, prior to display or exhibition of the Submission, should such Submission be selected by Sponsor for display or exhibition. Submission of any Contest Materials not requested by the Rules may subject your Entry to disqualification.

Any Contest Materials you submit must not contain material which is (or promotes activities which are) sexually explicit, obscene, pornographic, violent (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), discriminatory (based on race, sex, religion, national origin, physical disability, sexual orientation or age), illegal (e.g. underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, harassing, defamatory, libelous, infringing or otherwise objectionable as determined by Sponsor in its sole discretion. Sponsor may in its sole discretion disqualify any Contestant whose Contest Materials contain any of the above restricted materials. By submitting to the Contest, Contestant warrants that no animal has been harmed in connection with this Contest. If it appears from Contestant's Contest Materials that an animal has been harmed in connection with his/her Submission, whether or not any actual harm has occurred, Sponsor may in its sole discretion disqualify the Contestant and may remove any Submission that Sponsor has posted on the Website at any time.

9. THE PRIZES:

A. Four (4) Grand Prizes: Each Grand Prize will consist of the opportunity to have his/her Submission, or a portion thereof, published on the Website and otherwise distributed as solely determined by Sponsor and one (1) trip for Grand Prize Winner and one (1) guest to the City for Sponsor-selected number of days and nights, consisting of the following elements: [1] if the Winner resides more than fifty (50) miles from the City, hotel accommodations in the City for two (2) (one room, double occupancy) plus hotel tax; [2] if the Winner resides more than one hundred (100) miles from the City, round-trip coach air transportation for two (2) between a major metropolitan airport in the Territory near Winner's residence ("airport of origin") and a major airport in or near the City; and [3] the opportunity for the Winner and his/her guest to attend the Premiere, or alternatively, at Sponsor's sole discretion, to attend a cast and crew screening of the Picture (collectively, "Trip"). All expenses not specifically mentioned herein are not included and are solely the Winner's responsibility, including but not limited to: transportation to the City if a Winner resides within one hundred (100) miles from the City, hotel accommodations if the Winner resides within fifty (50) miles from the City, round trip transportation between the Winner's residence and any airport of origin, room service, parking fees, laundry service, food, alcoholic beverages, insurance, merchandise, souvenirs, telephone calls, tips, gratuities and service charges. Airline carrier and hotel regulations and conditions apply. Travel, lodging, performances and Trip itinerary are subject to change, availability, certain restrictions, blackout dates and Sponsor's approval; and Trip must be completed by June 30, 2008. Approximate retail value ("ARV"): $2,000, which will vary depending upon points of departure and destination and seasonal fluctuation of hotel rates and airfares.

B. Second Prizes (the number of Second Prizes, if any, will be determined solely by the Judges): If there is a Second Prize, it will be the privilege of having the Second Prize Winner's Submission, or portion thereof, featured in the end credits of the Picture, on the Website and/or elsewhere as solely determined by the Judges (ARV: 0).
Total ARV of all prizes: $8,000. Limit one Grand Prize per person/family/household and one Second Prize per person/family/household; and a Grand Prize Winner may also be a Second Prize Winner. Prizes are not redeemable for cash or transferable and no substitution allowed except, at Sponsor's sole discretion, a prize of equal or greater value may be substituted. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or Grand Prize items. Judges will have no obligation to feature any Submissions in the Picture or otherwise in connection with the Grand Prizes and placement in the end credits will be based solely on the Filmmakers' creative and production judgment as to which Submissions, if any, are most suitable for the Picture's end credits.

10. JUDGING AND SELECTION OF WINNERS

A. Grand Prizes: On or about June 2, 2007, the Judges will evaluate all eligible Entries received during the Term based on the quality and originality of the material contained in each Submission and select, in their sole judgment, ten (10) Finalists from the eligible Entries in each Category. The Submissions, or portions thereof, of all twenty (20) Finalists will be linked to or posted on the Website for viewing and online voting by Members of the Website, during the period commencing at 12:01 A.M., June 8, and ending at 11:59 P.M., June 14, 2007 ("Voting Period"). Website Members will be instructed to vote for Submissions in each of the two Categories (i.e., for their favorite Video Submission Finalist and for their favorite Photo Submission Finalist). Each Member of the Website, including Contestants, is entitled to cast no more than one (1) vote per Category daily during the Voting Period. The two (2) Entries that receive the most votes in each Category will each be eligible to claim one (1) of the four (4) Grand Prizes. If there are multiple Entries that receive the same number of votes that qualify them for the top position, the Judges will make the final selection in their sole judgment, based on the criteria noted above, to break the tie. There will be no more than four (4) Grand Prize Winners. Grand Prize Winners will also be considered for a Second Prize, if any. In the event of the forfeiture of a Grand Prize, the Judges may, in their sole discretion, award the forfeited Grand Prize to the eligible Finalist with the next highest number of votes in the applicable Category through the same notification process. If that Finalist also forfeits the prize, then the Judges may, in their sole discretion, award the forfeited Grand Prize to the eligible Finalist with the next highest number of votes in the applicable Category through the same notification process. Sponsor may, but will not be required to, award any forfeited Grand Prizes.

B. Judging and Selection for the Second Prizes: From all Entries submitted during the Term, the Judges will select, in their sole discretion, Submissions, or portions thereof, to be featured in the end credits of the Picture and otherwise as determined by the Sponsor. The number, if any, of Submissions selected to be featured in the end credits of the Picture will be in the sole discretion of the Judges. The Judges will have no obligation to use any Submissions in the Picture. Entries by all eligible Contestants will be judged for selection of Grand Prize Winners and Second Prize Winners, if any; however, the judging and selection procedures for the Grand Prize Winners will not apply to the selection of the Second Prize Winners. The Judges will select the Second Prize Winners based on the Judge's sole creative and production judgment as to which Submissions, if any, are most suitable for the Picture's end credits.
11. WINNERS: The potential Grand Prize Winners will be notified by e-mail on or about July 1, 2007 before 5:00 P.M; and the potential Second Prize Winners, if any, will be notified by e-mail not later than September 1, 2007. All legal responsibilities of a minor under the Rules will be assumed by the parent/legal guardian ("Parent"). Disqualification and the selection of an alternate Prize Winner may result from any of the following: [1] potential Prize Winner's failure to accept a prize within the Sponsor-selected time period after notification; [2] the return of any e-mail notification as undeliverable after 3 attempts; [3] the return of any other notice as undeliverable; [4] potential winner's failure to provide Sponsor with satisfactory proof of age, identity and residency; [5] potential winner's failure to execute and return an Affidavit of Eligibility/Liability/Publicity Release within ten (10) days after its mailing; [6] potential Grand Prize Winner's failure to be available to make the Trip; [7]potential winner's failure to deliver any such other documentation as Sponsor may require in its sole discretion and [8] any other non-compliance with Rules. The Grand Prize Winner and his/her guest must travel together on the same itinerary; and the guest will be required to execute and return a Release of Liability and publicity release prior to ticketing. Grand Prize Winner's guest may not be a minor unless the winner is the Parent of the minor. All taxes are solely the responsibility of each Grand Prize Winner, who will each receive an IRS Form 1099 reflecting the final actual value of the Grand Prize. Upon receipt of all required documentation and verification that the potential Prize Winners have met the Contest eligibility requirements, Sponsor will announce the Grand Prize Winners on the Website on or about July 2, 2007, and the Second Prize Winners on the Website on or about September 1, 2007. 12. PRIVACY: During the registration process, you will be asked for your Address which may be used to contact you if you are a potential winner, and you will be able to opt-in or opt-out from usage of your personal information in receiving communications that are not in the administration of this Contest. All personal information collected on the Entry form or otherwise will be used by Sponsor for the purposes of administering this Contest and as described herein. 13. GENERAL CONDITIONS: Each Contestant by entering the Contest agrees that: [1] he/she will abide by and be bound by the Rules and the Sponsor's and Administrator's decisions, which are final as to all Contest matters; [2] all Contest Materials submitted by Contestant become solely the Sponsor's property and will not be acknowledged or returned; [3] the Releasees do not make any representation, warranty or guarantee, express or implied, relating to the Contest. [4] Sponsor may film Contestant's participation in any of the Prizes and use such footage and Contestant's or the dog(s)' name, voice, likeness, image or biographical data otherwise obtained and any other Contest Materials submitted by Contestant in any media or format now known or hereafter devised, including the Internet, for any purpose related to the Picture, including, without limitation, in and in connection with the Picture, Contest and Website and in the advertisement, promotion and marketing thereof, but has no obligation to do so; [5] in the event unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor's reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, the Sponsor has the right to cancel, modify, terminate or suspend the Contest; and in such event, to select winners by such method as Sponsor in its sole discretion shall consider equitable; and in the event the Trip has already commenced, to terminate the Trip and return the winner and guest to any airport of origin as soon as reasonably possible; [6] the Releasees are not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to: errors in the advertising, Rules, selection and announcement of the winners and distribution of the prizes; [7] any portion of any prize not accepted or used by any winner will be forfeited; [8] the Releasees are not responsible for any inability of any winner to accept or use any prize (or any portion thereof) for any reason. [9] Sponsor has the right to disqualify, in its sole discretion, any person tampering with the entry process, the operation of the systems required to conduct the Contest or operate the Website, or who is otherwise in violation of these Rules; [10] all issues concerning the construction, validity, interpretation and enforceability of these Rules, and the rights and obligations of the participants, shall be determined by Sponsor in its sole discretion and governed by California law without regard to any conflict of laws principles; [11] Sponsor may assign all or any rights granted by Contestant hereunder to any party at Sponsor's sole discretion. [12] Sponsor has the right to amend the Rules, from time to time, at its sole discretion, and to cancel or postpone the Contest; [13] the Releasees shall not be responsible or liable for, and are hereby released from, any and all claims, injuries, costs, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from participation in the Contest or any Contest-related activity, or from the award, delivery, acceptance, use, misuse, possession, loss or misdirection of any prize or from any interaction with, or downloading of, computer Contest information ("Claims"); [14] if a Claim arises that cannot be waived or barred, Contestant's sole remedy is at law; [15] Contestant expressly waives and relinquishes all rights and benefits afforded by Section 1542 of the Civil Code of the State of California with respect to any Claim, and does so understanding and acknowledging the significance of such specific waiver of section 1542, which states as follows:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."
Thus, notwithstanding the provisions of section 1542, and for the purpose of implementing a full and complete release and discharge by the Contestant of the Releasees, Contestant expressly acknowledges that this document is intended to include in its effect, without limitation, all claims and causes of action relating to any Claim which Contestant does not know or suspect to exist in his/her favor at the time of execution hereof, and that this document contemplates the extinguishment thereof.
